Regulations of the Supervisory Board

REGULATION

ON THE SUPERVISORY BOARD

I. Ground rules

1. These Regulations govern the activities of the Supervisory Board of Samarkand State Medical University (hereinafter referred to as the Supervisory Board).

2. The Supervisory Board is formed in accordance with the Law of the Republic of Uzbekistan “On Education” and the Decree of the President of the Republic of Uzbekistan dated October 8, 2019 No. UP-5847 “The Concept for the Development of the Higher Education System of the Republic of Uzbekistan until 2030”, Decrees of the President of the Republic of Uzbekistan dated December 24, 2021 No. PP-60 “On additional measures to ensure the academic, organizational and managerial independence of state higher educational institutions” and No. PP-61 “On measures to ensure the financial independence of state higher educational institutions”. educational institutions” and other legislative acts, and is the governing body of the Samarkand State Medical University (hereinafter referred to as the University).

3. The Supervisory Board is not a legal entity and is not subject to state registration. The Supervisory Board operates on a public basis.

4. The Supervisory Board carries out its activities in accordance with the Constitution and laws of the Republic of Uzbekistan, decisions of the Chambers of the Oliy Majlis, decrees and resolutions of the President of the Republic of Uzbekistan, decisions of the Cabinet of Ministers and other normative legal acts, as well as the Charter of the University and this Statute.

5. The supervisory board may include representatives of ministries and agencies, personnel customers, non-governmental non-profit organisations, the public, sponsors, as well as other legal and natural persons interested in the improvement and development of the university's activities.

6. The composition of the supervisory board is approved by the Ministry of Health.

II. Obligations and powers of the Supervisory Board

7. The main powers of the Supervisory Board include:

To approve the long-term and medium-term strategic development programme of the university, to define targeted measures for taking first places in the ranking of internationally recognised organisations and to monitor its implementation;

approval of the university's medium-term business plan and income and expenditure parameters, and discussion on their implementation;

deciding on the parameters of admission to study on a fee-paying basis by field of study, speciality and specialisation;

To study the activities of the rector and vice-rectors, to hear information on the fulfilment of the tasks set for the university and the achievement of the targets;

The financial control of the internal audit and financial control services of the university and the receipt of the report on the results of control activities;

developing the institution and addressing issues related to its financial activities, including the formation of an endowment in the form of a non-governmental non-profit organisation;

determine the procedure and areas of expenditure of the university's innovation and other funds, based on the priorities of science and innovation development;

evaluating the performance of the head and staff of the institute, as well as the teaching staff, and approving the criteria for assessing their performance (KPI);

Establishing performance pay and remuneration procedures for managers and staff of educational and research institutions, teaching staff, as well as foreign specialists of the university;

The Supervisory Board may also have other powers in accordance with the regulations in force, these Statutes and the Statutes of the Institute.

8. To carry out the tasks entrusted to the Supervisory Board:

Obtain from the Institute the information and data necessary to perform the tasks entrusted to the Supervisory Board in accordance with the procedure laid down in these Regulations;

Develops proposals to improve the quality of training at the institute;

Makes recommendations to the Rector on material and moral incentives for the staff and students of the Institute..

III. Composition of the Supervisory Board, tasks entrusted to it

9. The Supervisory Board is formed based on the principles of voluntary participation and equality of all its members in matters relating to the competence of the Supervisory Board.

As a rule, the Supervisory Board is composed of the Chairman (Co-Chairman), the Vice-Chairman, the Secretary and the members of the Supervisory Board.

The number of members of the Supervisory Board will be odd. Changes in the personal composition and leadership of the Supervisory Board are generally made once a year and approved by the Ministry of Health.

The Rector of the Institute shall be a member of the Supervisory Board in accordance with his/her position. It is not permitted to appoint the Rector of the Institute as the Chairman of the Supervisory Board.

10. At least 70 percent of the supervisory board will consist of representatives from line ministries, agencies, personnel customers, the public and sponsors.

The supervisory board shall recommend the appointment or dismissal of the rector and vice-rectors of the institute.

11. The Supervisory Board shall be entitled to delegate its powers to the Council of the Institute, as well as to assume the powers delegated by the Council of the Institute.

The Supervisory Board may not delegate its powers to the Rector of the Institute.

12. Chairman (co-chairman) of the Supervisory Board:

sets the agenda for the meeting of the Supervisory Board and convenes it;

Approves the decisions of the Supervisory Board and monitors their implementation;

approves the annual work plan of the Supervisory Board, and submits a report on the implementation of the annual work plan to the Supervisory Board;

coordinates the work of the members of the Supervisory Board in carrying out their tasks;

represents the Supervisory Board before public authorities and other organisations;

exercise other powers to ensure the effective operation of the Supervisory Board.

13. The powers of the Deputy Chairman of the Supervisory Board shall be determined by a decision of the Supervisory Board.

14. Members of the Supervisory Board have the following rights:

participate in the discussion and resolution of matters considered at meetings of the Supervisory Board;

Submit proposals to the Supervisory Board on current issues concerning the development of the educational process at the institute (as well as at the educational institutions that are part of it);

Providing an opinion on matters considered by the Supervisory Board.

15. The members of the Supervisory Board serve on the Supervisory Board on a voluntary basis.

Members of the Supervisory Board must attend the meeting in person. If such attendance is not possible, a member of the Supervisory Board may submit his or her opinion on the agenda of the meeting in writing to the Supervisory Board.

If a member fails to attend meetings of the Board 3 times systematically without a valid reason, he/she will be expelled from the Board.

16. Secretary to the Supervisory Board:

provides organisational and technical support for the activities of the Supervisory Board;

ensures that all necessary documents are prepared in time for the Supervisory Board meeting;

agree a time and place for a meeting with the chairman (co-chairman) of the Supervisory Board;

organises meetings of the Supervisory Board on agenda items;

inform the members of the Supervisory Board and invitees of the date, draft agenda, time and place of the meeting;

supervises the implementation of decisions of the supervisory board;

draw up minutes of the Supervisory Board and send approved minutes to members of the Supervisory Board and other interested bodies.

The secretary of the supervisory board is a member of the supervisory board.

IV. Organisation of the work of the Supervisory Board

17. Decisions on matters within the competence of the Supervisory Board shall be taken at its meetings

18. The supervisory board carries out its work on the basis of a plan approved by it.

The Supervisory Board meets as necessary, but at least once a quarter, remotely, using information and communications technology.

Extraordinary meetings can be called by the chairman of the supervisory board on the basis of written requests from its members. The requests must state the reasons and grounds for calling an extraordinary meeting.

19. Members of the Supervisory Board may propose in writing the inclusion of an item on the agenda of a Supervisory Board meeting. A motion to include an item on the agenda must include a clear definition of the item, the name and surname of the rapporteur, the proposed draft decision and materials on the agenda of the Supervisory Board meeting.

20. A meeting of the Supervisory Board is chaired by the chairman of the Supervisory Board or, in his absence, by the co-chairman or vice-chairman of the Supervisory Board.

The quorum for a meeting of the Supervisory Board shall be at least two-thirds of the members of the Supervisory Board.

if there is no quorum or if the chairman (or co-chairman) and his/her deputy are not available for the meeting, a new date for the meeting of the Supervisory Board will be announced.

21. Heads and specialists of ministries, departments and other organisations, faculty and staff of the Institute and other persons may be invited based on the nature of the issues to be considered at the meeting of the Supervisory Board.

The secretary of the Supervisory Board shall notify the Chairman of the Supervisory Board at least 7 calendar days before the date of the meeting of the Supervisory Board and submit:

draft agenda for a meeting of the supervisory board;

draft decisions of the Supervisory Board on issues on the agenda of the Supervisory Board meeting;

documents and information material on items on the agenda of the Supervisory Board meeting.

23. The draft agenda and relevant materials approved by the chairman (co-chairman) or vice-chairman of the Supervisory Board shall be sent to the members of the Supervisory Board at least five days before the date of the Supervisory Board meeting.

Each member of the Supervisory Board will be notified of the meeting of the Supervisory Board. The notice may be sent electronically, by facsimile, by telephone or delivered to a member of the Supervisory Board in person, and shall contain details of the date, time and place of the meeting of the Supervisory Board.

24. Information (materials) for the Supervisory Board meeting shall be prepared by the secretary of the Supervisory Board in cooperation with the relevant departments of the Institute.

25. If necessary, the date, time and place of the Supervisory Board meeting may be changed (or postponed) with the consent of a majority of the Supervisory Board members.

26. Decisions at Supervisory Board meetings are made by a majority vote of the members of the Supervisory Board. Each member of the Supervisory Board has one vote on the agenda items of the Supervisory Board meeting. In the event of a tie vote by members of the Supervisory Board, the chairman has the casting vote..

One member of the Supervisory Board may not vote for another member of the Supervisory Board.

27. The following items shall be decided by not less than three quarters of the members present at a meeting of the Council:

Approving the long-term and medium-term strategic development programme of the Institute;

Approve the long-term and medium-term business plan of the institute and the income and expenditure parameters;

Deciding on the parameters for admission to study on a fee-paying basis by field of study, speciality and specialisation.

28. Minutes shall be taken at a meeting of the Supervisory Board. Minutes of the Supervisory Board meeting shall be prepared no later than five days after the date of the meeting.

29. The minutes of the Supervisory Board meeting shall show:

meeting place and time;

persons who attended the Supervisory Board meeting;

agenda of the supervisory board meeting;

the questions put to the vote, the result of the vote on them, the decisions.

30. The minutes of the Supervisory Board meeting shall be signed by the chairman and the members who attended the meeting of the Supervisory Board.

The opinion of the members of the Supervisory Board who voted in absentia, expressed in writing and signed by hand, shall be appended to the minutes of the meeting of the Supervisory Board.

31. The secretary of the Supervisory Board shall keep the original minutes of the Supervisory Board.

Serial numbers are assigned to reports in chronological order, detailed serial numbers, individual documents have a binder and are stored in the prescribed order for restricted documents.

32. Minutes of the meeting approved by the chairman (co-chairman) of the Supervisory Board shall be sent by the secretary of the Supervisory Board to the chairman and members of the Supervisory Board within 5 days of approval.

33. The original minutes of the Supervisory Board and its proceedings shall be kept at the Institute.

The rector of the institute shall be responsible for keeping the records of the supervisory board in accordance with the established procedure.

34. The secretary of the Supervisory Board, with the help of the members of the Supervisory Board, regularly examines and verifies the implementation of the decisions of the Supervisory Board and, if necessary, makes appropriate proposals to the chairman (co-chairman) of the Supervisory Board.

Regularly check the status of implementation of decisions taken by the Supervisory Board at its meetings.

35. The procedures of the Supervisory Board shall be determined by the regulations approved by the Supervisory Board.

V. Final rules

36. If the Supervisory Board interferes in matters outside its competence or fails to discharge its duties in full, it shall be dissolved in accordance with the established procedure. A new Supervisory Board will, however, be reformed in accordance with the requirements set out in Chapter 3 of these Regulations.

37. Members of the Supervisory Board may not have powers not defined in these regulations, nor interfere in the exercise of the powers of the Rector of the Institute as defined by law.

38. The Rector of the Institute, public administration authorities, local public administration authorities and other organisations shall not have the right to interfere with the activities of the Supervisory Board.

39. Persons found guilty of breaching the requirements of these regulations shall be liable in accordance with the law.

40. These Regulations shall come into force on the date of their approval.

41. These Regulations shall be amended and supplemented by the Ministry of Health.
